VERDICT LEGAL

Terms of Service

LAST UPDATED — JULY 19, 2026

These Terms of Service ("Terms") govern your access to and use of Verdict, including the website, chart-analysis features, and any related services (together, the "Service"), operated by [LEGAL ENTITY NAME — dedicated LLC] ("Verdict," "we," "us"). By using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. What Verdict is — and is not

Verdict is an educational software tool that analyzes the visual structure of price charts you upload — such as fair value gaps, liquidity levels, and structural breaks — and returns a written, graded assessment for study purposes.

Verdict is not an investment adviser, broker-dealer, commodity trading advisor, or financial institution, and is not registered with the SEC, CFTC, NFA, or any regulatory body. The Service does not provide financial, investment, tax, or legal advice; does not provide trade signals or recommendations to buy or sell any instrument; and does not manage money. Output describes chart structure — every trading decision, and its consequences, is yours alone.

2. AI-generated content

Analysis is generated by automated systems, including artificial intelligence and computer-vision extraction. AI output can be incomplete, imprecise, or wrong. Where the Service labels an analysis as an estimate rather than a measured extraction, treat it with additional skepticism. You agree not to rely on any output as a factual representation of market conditions or as a basis for financial decisions.

3. Eligibility and accounts

You must be at least 18 years old to use the Service. When accounts launch, you are responsible for safeguarding your credentials and for all activity under your account. We may suspend or terminate access for violation of these Terms.

4. Acceptable use

You agree not to: misrepresent Verdict's output as financial advice or signals when sharing it; use the Service to operate a signal-selling business; attempt to reverse-engineer, scrape, or overload the Service; upload content you lack rights to; or use the Service in violation of any law.

5. Your content

You retain ownership of chart images and data you upload. You grant us a limited license to process them for the purpose of providing the Service, including transmitting them to our AI and extraction infrastructure. Analysis output you receive may be shared by you, and may include Verdict branding.

6. Subscriptions and billing

Certain features may require a paid subscription. Pricing is shown at purchase. Subscriptions renew automatically until canceled; cancel any time, effective at the end of the current billing period. Refunds are governed by our Refund Policy.

7. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ACCURACY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT ANALYSIS WILL BE ACCURATE, COMPLETE, OR PROFITABLE TO ACT UPON.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERDICT AND ITS OWNERS, EMPLOYEES, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES — INCLUDING TRADING LOSSES, LOST PROFITS, OR LOST DATA — ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR FIFTY DOLLARS ($50) IF YOU HAVE PAID NOTHING.

9. Indemnification

You agree to indemnify and hold Verdict harmless from claims arising out of your use of the Service, your content, or your violation of these Terms.

10. Dispute resolution

[ARBITRATION CLAUSE — insert after attorney review: binding arbitration, class-action waiver, opt-out window, venue]

11. Governing law

These Terms are governed by the laws of the State of Michigan, USA, without regard to conflict-of-law principles.

12. Changes

We may update these Terms; material changes will be posted here with a new "last updated" date. Continued use after changes means acceptance.
